DriveFiler Terms of Service

These terms are a contract between you and Drive Filer Inc. ("we", "us"), the company that provides DriveFiler. By creating an account you agree to them. Please read them — they are deliberately short and in plain language.
1. What DriveFiler is, and what it is not
DriveFiler helps you organise documents that you keep in your own cloud storage account — Google Drive, Microsoft OneDrive, or Dropbox.
We never store your documents. Your files stay in your storage account, owned and controlled by you. What we store is the categorization you create: which vendor, account, document type, owner, asset and tags each document belongs to, its date, its file name and its folder path, plus any comments you add. We refer to this throughout as your categorization data.
This distinction matters and runs through the rest of these terms. Because DriveFiler files your
documents into clearly named folders in your own storage — for example
Cabinet/RBC/Visa/RBC_Visa_2016-12-19_Receipt.pdf — you keep a complete, readable archive even if
you stop using DriveFiler entirely, with no software required. What you would lose is the
categorization layer: search, filtering, automatic re-filing, and the structured data behind it.
2. What DriveFiler does to files in your storage account
To do its job, DriveFiler needs permission to change files in your storage account. With your consent, and only within the folder it manages, it will:
- Upload documents you add through the app.
- Move and rename documents when you categorise them, or when you change a category in a way that changes where a document belongs.
- Move a document back to the Inbox folder, under its original name, if you remove its categorization.
- Delete a document from your storage account when you delete it in DriveFiler.
Deleting a document in DriveFiler deletes the underlying file in your storage account. This is intentional, and it cannot be undone by us — we have no copy. Your storage provider may keep the file in its own trash or version history for a period; recovering it is between you and them.
You grant this access by connecting your storage account through your provider's own sign-in screen. You can withdraw it at any time, either in DriveFiler or in your storage provider's settings. Your storage provider's access tokens are held on your own devices, not on our servers.
3. Your account
- You must give a working email address and confirm it before your account is created. We use that address for account and billing messages.
- You are responsible for keeping your password confidential and for activity under your account.
- A subscription covers up to 25 devices. Tell us if you need more.
- You must be old enough to enter a contract where you live.
4. Free trial
New accounts get one month free, starting when the account is created.
We ask for a payment method when you sign up, and we do not charge it during the trial. When the month ends, that payment method is charged for your first year and your subscription begins.
You may cancel at any time before the trial ends and you will not be charged. Cancelling is done from your account page and takes effect immediately.
5. Subscription, renewal and payment
- After the trial, DriveFiler is an annual subscription. The current price is shown on our pricing page at https://www.drivefiler.com/pricing/ and on the checkout page before you pay.
- Subscriptions renew automatically unless you cancel before the renewal date. We keep a payment method on file for this purpose and charge it on the renewal date.
- We email you once, seven days before each renewal, telling you the date and the amount. We do not send further reminders — you have already agreed to the renewal, and we would rather not nag you about it.
- We email you a receipt after each successful charge.
- You can cancel at any time from your account page. Cancelling stops the next renewal; it does not end the term you have already paid for, which runs to its expiry date.
- We may change our prices. If we do, we will tell you at least 30 days before a change affects you, and it will only ever take effect at your next renewal — never mid-term.
6. How renewal dates are calculated
A renewal extends your subscription from its existing expiry date, not from the date you pay.
This matters if a payment is retried and succeeds a few days late: you do not lose those days, and your renewal date does not move. A subscription that renews on 1 March goes on renewing on 1 March.
7. If a payment fails
A failed payment is not a cancellation, and we do not treat it as one.
- We tell you in the app that there is a payment problem to resolve, and we email you about it.
- For 30 days you keep read-only access: you can open, view and export everything, but changes are not saved.
- During those 30 days our payment provider keeps trying the payment, and will contact you if your card needs updating.
- After 30 days, if the payment has still not gone through, your subscription ends and the retention timetable in section 9 begins.
You can restore full access at any point in that window by fixing the payment. If the payment succeeds, your subscription simply continues — your renewal date does not move.
8. Refunds and cancellation by us
You can have a full refund of any payment, for any reason, within 30 days of that payment. This applies to your first payment and to every renewal alike. You do not need to give a reason, and we will not ask you for one.
- To request a refund, contact us using the details in section 15.
- We refund the full amount you paid, to the payment method you paid with.
- No payment is taken during your trial, so there is nothing to refund during it — see section 4.
A refund ends your access immediately — there is no read-only period and no notice. A refund reverses the subscription, so the access it paid for ends with it. This is different from a failed payment, which is handled under section 7. Your categorization data is then kept for 30 days and then deleted, the same as any other ending you chose — see section 9. If you would rather it went sooner, you can ask us to delete it and we will do so within 7 days.
Separately from any of the above, we may suspend or end your account if you break these terms, use DriveFiler unlawfully, or attempt to disrupt the service or reach other customers' data.
9. What happens to your data if you leave
How long we keep your categorization data depends on how your subscription ended. If you subscribe again within the window, everything is restored exactly as you left it.

The windows differ because the situations do. A payment that failed was not a decision to leave, so we keep your data longest and give you the best chance of picking up where you left off. Cancelling is a decision to stop paying — which is not the same as asking us to destroy your filing system, so we still keep it for a month. Asking us to delete your data is exactly that, and we act on it.
We warn you before anything is deleted, by email to the account owner: when your subscription ends, and again as the deletion date approaches. Shorter windows get fewer warnings, for the obvious reason that a warning 30 days before a deletion 7 days away cannot be sent.
A deletion request can be undone. We email you as soon as you make one, and you can cancel it with one click — or simply by signing in — at any point before the 7 days are up.
After the window ends, your categorization data is permanently deleted. We cannot recover it.
Your documents are never deleted by this. They are in your own storage account, already filed into named folders, and they stay exactly where they are.
Before you leave — and at any time — you can export your categorization to CSV files from the desktop app. The export works without a subscription and without a connection to your storage provider, precisely so that it is available when you most need it. Together with your already-filed folders, it is a complete record of your data.
10. Your data and your privacy
Our Privacy Policy explains what we collect and why, and forms part of these terms.
In short: your categorization data is yours. We do not sell it, we do not use it to train anything, and we do not look at it except when you ask us for support and we need to. Some of it — owner names, vendor names, account names — is personal information, and we handle it accordingly.
11. Availability
We work to keep DriveFiler available and your data safe, but we do not promise uninterrupted service. Maintenance, provider outages and faults happen. Note that the desktop and mobile apps keep a local copy of your categorization and continue to work offline, and your documents remain accessible through your storage provider regardless of whether DriveFiler is available.
12. Our responsibility to you
We provide DriveFiler with reasonable care and skill.
To the extent the law allows, we are not liable for indirect or consequential losses, for lost profits, or for loss of data that you could have avoided by keeping your own copies. Our total liability to you for any claim is limited to the amount you paid us in the 12 months before it arose.
Nothing in these terms limits liability that cannot lawfully be limited — including for death or personal injury caused by negligence, or for fraud. If you are a consumer, you have statutory rights that these terms do not affect.
13. Changes to these terms
We may update these terms. Each version is dated, and we keep every published version so it is always possible to see what you agreed to.
If a change materially affects your rights, we will tell you at least 30 days beforehand by email, and you may cancel before it takes effect. Continuing to use DriveFiler after that means you accept the new terms.
14. Governing law
These terms are governed by the laws of the Province of Ontario and the federal laws of Canada that apply there, and the courts of Ontario have jurisdiction. If you are a consumer elsewhere, this does not deprive you of the protection of your local law.
